What advantages can I get as a shareholder?
As a shareholder, you will therefore be sent shareholder coupons and benefit cards, which can be converted into cheap overnight stays and discounts in the hotels' restaurants.

How much is paid out in dividends?
Dividends are paid on both A and B shares. Every year it is voted on Danske Hotellers ordinary general meeting. Dividend policy, cf. page 51 of the annual report for 2023. Dividends are paid to shareholders who hold shares per 31.12. That is if you have bought shares in May 2024 in connection with the capital increase, no dividend will be paid to these, as the dividend is valid for the 2023 financial year.

What is a shareholder coupon?
By using a shareholder coupon, you can get an overnight stay incl. breakfast for 2 people in a standard double room from DKK 300

Note: You do not earn bonus points on shareholder nights paid with a shareholder voucher.

How do I use my shareholder coupons?
Shareholder accommodation can either be booked directly at the hotel you wish to use, or online via https://www.danske-hoteller.dk/aktionaer/aktionaertilbud/ (accommodations cannot be booked via other hotel portals).

Please note that the shareholder accommodation offer can only be used if the allocated coupons are brought with you when staying overnight at the selected hotel. The coupon card must be handed in at the hotel.

Can I give a shareholder voucher to others?
Yes, you can easily give your shareholder vouchers for cheap accommodation to family, friends or colleagues. However, the benefits card is reserved for the shareholder and not for distribution to others.

What is a benefit card?
The advantage card gives access to eating a la carte in our hotels' restaurants at any time with a discount on the total bill - incl. drinks (does not apply to parties and parties). Discount (%) only applies to list prices - not periodic offers and not on stays bought from external partners and dealsites.

To use the advantage card, the card must be brought with you and presented when paying at the hotel.

Note: You do not earn bonus points on restaurant visits where you have already used your benefit card.

How often do I receive the shareholder benefits?
Once a year. The shareholder benefits are issued in December to those who are shareholders at the beginning of December in the year of issue. The shareholder benefits are valid for one year at a time.

The number of coupons is based on the total number of shares that you have at the beginning of December. If you have received coupons in connection with the purchase of shares during capital expansion, it will still be the total number of shares at the end of the year that applies to how many coupons you are entitled to in the following year.

What is a benefit category?
A benefit category is our division of benefits based on the number of shares.
Eg. benefit category 50-99 shares, which gives 1 coupon for shareholder accommodation for DKK 300 and benefit card with 5% on the bill in the restaurant (max. 4 people). See benefit categories with shareholder benefits here.

I have bought more shares and have moved up to the benefit category. When can I make use of my new benefits?
New benefits for promotion in a benefit category will only come into force from the coming year. You will thereby first receive your new benefit card with the annual issue of coupons and benefit cards, which takes place every year in December.

Issuance of coupons and benefit cards in connection with capital increases is based on the purchase, which took place during the subscription period. That is if you have bought 100 shares during the subscription period, you will receive 2 coupons and a discount card for 5% of the bill in the restaurants.

Do you earn bonus points on shareholder stays?
It is not possible to earn bonus points on stays with payment of shareholder coupon.

What do I do if I don't get to use all my coupons this year?
The shareholder benefits are valid for one year at a time. Unused coupons/advantage cards cannot be transferred to the following calendar year.

Can you use several coupons in a row if you want to stay more than one night?
Yes, you can. For example, if you have two shareholder vouchers, you can easily book two consecutive nights at the same hotel.

Are there times when I cannot use my shareholder voucher?
Shareholder coupons can be used all days of the week. Reservations are made for sold-out rooms and periods when the desired hotel is closed (e.g. in connection with public holidays). There may also be events at the hotel where it is not possible to use a shareholder coupon (e.g. Christmas Eve and New Year's stays). Contact the desired hotel about the possibility of this. 

Are there weekend supplements when I use my shareholder voucher?
No, you will not be charged a weekend supplement when you book accommodation with a shareholder voucher.

Can I use my shareholder voucher as partial payment for a stay or event (e.g. New Year's stay)?
No, unfortunately it is not possible to use it as partial payment. In some cases, you can use your shareholder voucher to book an overnight stay in connection with an event at the hotel. Contact the desired hotel about the possibility of this. 

Do I have access to the wellness department (in the hotels that have this) when I use a shareholder voucher?
Yes, you have free access to the hotel's wellness department, pool, sauna and other wellness facilities during your entire stay.

Why might I find myself having to pay an upgrade supplement on my shareholder stay?
Please note that there may be days with "few available/all sold out" of standard rooms, whereby you may experience being offered an upgrade to a different room type against payment of an upgrade supplement.

Are there costs associated with share trading?
No, in addition to the actual price per share there are no costs for our shareholders in connection with the purchase and sale of shares in Danske Hoteller. The bank costs are with Danske Hoteller A / S.

Is there a minimum for buying shares?
Yes, unfortunately we do not sell less than 50 shares per trade, as there are significant banking costs associated with each share trade (for Danske Hoteller - not for you who want to buy shares).

Can I buy shares when I don't have a custody account?
No, in order to buy shares it is necessary to have a custody account.

My bank does not deal in shares. How can I then buy shares?
It is not possible to buy shares if you do not have a custody account. If your bank does not deal in shares, you can set up a custody account in another bank or set up a custody account with, for example, Nordnet.

Can I buy shares even if I live outside Denmark?
Yes, but you must have a deposit in a Danish bank.

Why can't you use an open pension depository?
Da Danske Hotellers shares are unlisted, special rules apply for investment with pension funds. Contact your bank to find out which rules apply specifically to you.

Can I store my shares in Coop Bank, Saxo Bank or Lunar?
Coop bank, Saxo Bank and Lunar do not store unlisted shares. It is therefore not possible to use a deposit in these banks.

How can I sell my shares?
Send an email to John Olsdorf at jeo@danske-hoteller.dk. Danske Hoteller hereby buys back the shares. Contact John Olsdorf for the current rate.

Can I give/sell my children some of my shares?
The shares are freely transferable, i.e. the shares can be sold directly to another buyer without having to go through Danske Hoteller. Contact your own bank with a view to selling your shares to another buyer. 

How are the shareholder benefits determined?
Shareholder benefits are adopted each year by the company's board of directors.

Where can I see my shares?
You can see your share holdings in your depository in your online bank. 
You can also access The InvestorPortal via the link here. You log in with MitID.

Why can't you use an open pension depository?

Can I store my shares in Coop Bank, Saxo Bank or Lunar?

I want to move my shares to another depository. What do I do?
You contact your own bank, which can help with this.

What is a CD Ident. No. (CD identification number)?
CD-ident/CD identification is the bank's number as account holder in the Central Securities Depository (VP) and is the same for all customers in the same bank. Your VP account number (VP custody number) is individual and consists of the CD ID followed by your custody number with a 0 in front, so it consists of 11 digits (five-digit CD ID and ten-digit custody number).

If you are in doubt about the CD identification number for your bank and depository number (to which the shares are to be transferred), contact your bank and get the numbers.

What should I do if my CD ident. No. is only 4 digits long?
Here you must fill in the first empty field with "0".

How long will it take before I can see my shares in my depository?
It takes approx. 14 days after the end of the subscription period.

What is the difference between A and B shares?
A shares have 10 votes at the general meeting, while B shares have 1 vote.
A and B shares offer the same benefits. There is the total sum of shares that determines which shareholder benefits you are entitled to. 

Can I give/sell my children some of my shares?
The shares are freely transferable, i.e. the shares can be sold directly to another buyer without having to go through Danske Hoteller. Contact your own bank with a view to selling your shares to another buyer. 

Why does the rate not increase/decrease?
Da Danske Hoteller is not listed, the value does not follow the market. As the share is unlisted, the price is determined by the board of directors in Danske Hoteller.

How much is paid out in dividends?
Dividends are paid on both A and B shares. Every year it is voted on Danske Hotellers ordinary general meeting. Dividend policy, cf. page 42 of the annual report for 2022. Dividends are paid to shareholders who hold shares per 31.12. That is if you have bought shares in January 2023 in connection with the capital increase, no dividend will be paid to these, as the dividend is valid for the 2022 financial year.

Why can't I see my shares in my depository?
This is because your shares are not registered. Contact your bank to have your shares registered. Note: once you have bought shares, it can take 1-2 weeks before they are transferred and can therefore be seen in your depository.

Why are the shares worth DKK 0?
Please contact your bank / the place where you have your deposit to have them update the rate. 

Should shares in Danske Hoteller shown on my annual statement?
Have you received dividends in the given year for your shares in Danske Hoteller, you must state it in your annual statement.

 

 

What should I do if I have not received my vouchers?
Send us an email at investor@danske-hoteller.dk with your full name.
Note: We send the coupons and discount cards with PostNord. There may therefore be a waiting period.

Note: Have you changed your address since the last broadcast?
Danske Hoteller retrieves information directly from the bank. Always make sure your information is up to date with your bank.

How do I receive shareholder news/company announcements?
When you fill in the subscription form with your email, you will automatically be registered for our shareholder news.

Can I participate in the general meeting?
A shareholder's right to participate in a general meeting and to cast a vote is determined in relation to the shares the shareholder holds on the registration date. The registration date is one week before the general meeting. A shares carry 10 votes and B shares carry 1 vote.

When do you send the notice to the general meeting?
Danske Hoteller issues the notice to the general meeting no earlier than 3 weeks before the planned date. In the notice, you will hereby receive information about access cards, the agenda and the time and place of the general meeting.
